These Terms of Use (these “Terms”) govern your use of Oraysai.com and the educational tools, SugyaMaps, media and Client Portal offered by [ENTITY NAME] (“Oraysai,” “we” or “us”) through the site (together, the “Services”). By using the Services, you agree to these Terms and to the Privacy Policy.

1. Always Consult a Posek

The Services support learning. Nothing in the Services is a psak halacha, a ruling or a substitute for guidance from a qualified rav. Before acting on any halachic question, including a question the Services appear to answer, consult your posek. Where the Services and your posek differ, follow your posek.

2. Check the Sources Yourself

AI tools can misquote, misattribute, mistranslate or leave out a source, and can state an error with confidence. Before you rely on, repeat or teach any Result, open the original sefer and confirm the citation, the wording and the context. The Services are meant to bring you to the text, not to stand in for the text, a rebbe or a chavrusa.

3. Accounts and the Client Portal

You are responsible for the accuracy of your account information, for keeping your credentials secure and for all activity under your account. Tell us promptly at [EMAIL] if you believe someone has used your account without permission.

4. Acceptable Use

Please use the Services with the respect the subject deserves. You agree not to: (a) break the law or infringe the rights of others; (b) submit content that is abusive, defamatory or demeaning; (c) interfere with, probe or overload the Services; (d) scrape, copy or resell the Services or any Result at scale; or (e) present a Result as a psak or as the verified view of any named rav or sefer.

5. Submissions and Results

You keep whatever rights you have in content you submit (“Submissions”). You grant Oraysai a worldwide, royalty-free, perpetual license to host, use, reproduce and adapt Submissions, and the output the Services generate (“Results”), to operate, evaluate and improve the Services, including Oraysai’s tools, models and skills. Unless otherwise agreed in a signed writing, you have no expectation of privacy or confidentiality in Submissions or Results, as the Privacy Policy further explains.

6. Oraysai Content

The Services, including the site design, SugyaMaps, media and software, belong to Oraysai or Oraysai’s licensors. You may use them for personal and classroom learning. Any other use requires our written permission. Torah texts themselves belong to every Jew; this Section 6 covers only Oraysai’s own presentation, tools and materials.

7. No Warranties

The Services and all Results are provided “as is” and “as available.” To the fullest extent permitted by law, Oraysai disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. Oraysai does not warrant that any Result is correct, complete or consistent with any particular mesorah or shittah.

8. Limitation of Liability

To the fullest extent permitted by law, Oraysai and Oraysai’s owners, officers, employees and providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from reliance on a Result in learning, teaching or halachic practice. Oraysai’s total liability for any claim relating to the Services will not exceed the greater of the amount you paid Oraysai for the Services in the 12 months before the claim and [US$100].

9. Indemnity

You agree to defend and hold harmless Oraysai from claims, losses and expenses, including reasonable attorneys’ fees, arising from your Submissions, your use of the Services or your breach of these Terms.

10. Changes, Suspension and Termination

We may change, suspend or end any part of the Services, and may update these Terms by posting a new version with a new “Last updated” date. Continued use after a change is posted means you accept the updated Terms. We may suspend or close an account that breaches these Terms.

11. Governing Law

These Terms are governed by the laws of [STATE], without regard to conflict-of-laws rules. The state and federal courts located in [COUNTY, STATE] have exclusive jurisdiction over any dispute relating to the Services. [Parties may instead agree to resolve disputes before a beis din.]

12. Separate Agreements; Entire Agreement
